1. Agreement to Terms

Welcome to ElevateSpaces. By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and ElevateSpaces. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Services Description

ElevateSpaces provides premium 3D visualization and immersive technology services for the real estate industry, including:

• 2D to 3D Conversion: Transforming traditional 2D content into immersive 3D experiences
• 3D Product Visualization: Creating photorealistic 3D models and interactive visualizations
• Immersive Web Experiences: Developing spatial web applications with advanced 3D technology
• Consultation Services: Providing expert guidance on 3D visualization strategies

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate service agreement or proposal.

3. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to any part of our services
• Respect all intellectual property rights
• Provide necessary materials and information in a timely manner for project completion

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, 3D models, code, and software, is the property of ElevateSpaces and is protected by copyright, trademark, and other intellectual property laws.

4.2 Client-Provided Materials

You retain all rights to materials you provide to us. By providing materials, you grant us a license to use them solely for the purpose of delivering the agreed-upon services.

4.3 Deliverables

Upon full payment, you will receive the agreed-upon usage rights to the deliverables as specified in your service agreement. Unless otherwise specified, ElevateSpaces retains the right to use project work in our portfolio and marketing materials.

5. Payment Terms

Payment terms will be specified in your service agreement. Generally:

• A deposit may be required before work commences
• Payment milestones will be outlined in the project proposal
• Final payment is due upon project completion and before final delivery
• Late payments may incur additional fees as specified in the agreement
• All prices are in Indian Rupees (INR) unless otherwise stated

6. Project Timeline and Revisions

Project timelines are estimates based on the information provided and assume timely client feedback and material provision. Delays caused by late client responses or additional scope changes may extend the timeline.

The number of revision rounds will be specified in your service agreement. Additional revisions beyond the agreed scope may incur additional charges.

7. Limitation of Liability

To the maximum extent permitted by law, ElevateSpaces shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from unauthorized access to or alteration of your transmissions or data
• Damages arising from third-party services or content

Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

8. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. However:

• Our services are provided "as is" without warranties of any kind, express or implied
• We do not guarantee that our services will be uninterrupted, error-free, or secure
• We do not warrant that results obtained from our services will meet your expectations
• Technical specifications and performance may vary based on hardware and software configurations

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project. This obligation survives the termination of the service agreement.

10. Termination

Either party may terminate a service agreement under the following conditions:

• By mutual written agreement
• For material breach of these Terms, with 15 days' written notice to cure
• Immediately if the other party becomes insolvent or enters bankruptcy proceedings

Upon termination, you will pay for all work completed up to the termination date. ElevateSpaces will deliver all completed work upon receipt of payment.

11. Dispute Resolution

In the event of any dispute arising from these Terms or our services:

• The parties will first attempt to resolve the dispute through good-faith negotiations
• If negotiations fail, the parties may pursue mediation before resorting to litigation
• Any legal proceedings shall be conducted in the courts of Bangalore, Karnataka, India
• These Terms shall be governed by the laws of India

12. Indemnification

You agree to indemnify and hold harmless ElevateSpaces from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of our services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any materials you provide to us.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with any service agreements or proposals, constitute the entire agreement between you and ElevateSpaces regarding our services and supersede all prior agreements and understandings.
